Terms of Service

1. Who you're dealing with
WarmReply ("the Service") is operated by Arsen Asatryan, an individual based in Yerevan, Armenia ("we", "us"). By installing or using WarmReply you agree to these terms on behalf of the business you represent.
2. What the Service does
WarmReply delivers Yelp lead conversations into your HighLevel CRM account and delivers your replies back into the corresponding Yelp thread, with optional automated greeting messages that you configure and control.
3. Your responsibilities
- You must own or be authorized to manage the Yelp business pages and the CRM account you connect.
- You are responsible for the content of messages sent through the Service, including automated greetings, and for complying with applicable messaging and consumer-protection laws.
- You must comply with Yelp's, Zapier's, and HighLevel's own terms — the Service builds on all three.
- Keep your account token confidential; rotate it from settings if you believe it leaked.
4. Acceptable use
No spam, harassment, deception, unlawful content, or attempts to probe or disrupt the Service. We may suspend accounts that endanger the platform or other customers, and will tell you when we do.
5. Subscriptions, trials, billing
- Plans are billed through the HighLevel marketplace against your HighLevel account; we do not collect payment details.
- Every plan starts with a 14-day free trial. Cancel any time from the marketplace; cancellation stops future charges and the Service stops at the end of the paid period.
- Plans are sized by connected Yelp page count. Leads are unlimited, subject to fair use: volumes far outside what a plan's page count can plausibly generate may require a plan change, which we'll discuss with you first.
- Founding pricing is locked for as long as the subscription remains active.
6. Third-party services
WarmReply is not affiliated with, endorsed by, or sponsored by Yelp Inc., Zapier Inc., or HighLevel Inc. Their services are governed by their own terms, and changes on their side (APIs, integrations, pricing — e.g. Zapier task pricing) can affect the Service. We will always communicate material impacts promptly.
7. Data
Our Privacy Policy describes what we process and how. You keep all rights to your data; we process consumer conversation data only to provide the Service to you. On termination you may request deletion of your data at any time.
8. Availability and support
We aim for high availability but the Service is provided without an uptime guarantee. Support is provided by email at [email protected].
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that leads will be delivered without delay or loss, though the Service is engineered for exactly that.
10. Limitation of liability
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service is limited to the amounts you paid for the Service in the twelve months before the claim arose. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or business opportunities (including missed leads).
11. Termination
You may stop using the Service at any time by uninstalling and cancelling. We may terminate or suspend for breach of these terms with notice where practicable. Sections 7, 9, 10, and 12 survive termination.
12. Governing law
These terms are governed by the laws of the Republic of Armenia. Disputes will be resolved in the courts of Yerevan, Armenia, unless mandatory consumer law in your jurisdiction provides otherwise.
13. Changes
We may update these terms; material changes will be announced to customers by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
